These Terms & Conditions (“Terms”) govern your use of naruladeluca.com (the “Site”), operated by Narula Deluca LLP, an independent Alberta law firm based in Edmonton and a member of HGA Group. By using the Site you agree to be bound by these Terms. If you do not agree, do not use the Site.
These Terms may change at any time. By using the Site after a change, you agree to follow and be bound by the Terms as changed.
Not Legal Advice
The information on this Site is general information about Narula Deluca LLP and the areas of law in which we practise. It is not legal advice, and it is not a substitute for advice from a lawyer about your specific circumstances. Laws change, and information on the Site may not reflect the most current legal developments or apply to your situation.
No Solicitor-Client Relationship
Using the Site, reading its contents, or sending us a message through a contact form or by email does not create a solicitor-client relationship between you and Narula Deluca LLP. A solicitor-client relationship is formed only when we have agreed to act for you, confirmed that no conflict of interest exists, and both parties have signed an engagement letter.
Until that relationship exists, information you send us is not protected by solicitor-client privilege, and we have no duty to keep it confidential. Do not send confidential, privileged or time-sensitive information through the Site. We are not responsible for any deadline, limitation period or other time limit that passes before we have agreed in writing to act for you.
Site Contents
Everything you see, hear or otherwise receive from or on the Site (the “Contents”) is copyright, trademark or other intellectual property owned and/or licensed by Narula Deluca LLP. The Contents include images, illustrations, designs, icons, photographs, trademarks, logos, text, software, the Site as a whole, and any other materials on the Site.
You may view or download the Contents solely for your personal, non-commercial purposes, provided you keep all copyright and other proprietary notices with them. No other use is permitted. Downloading or copying Contents does not transfer any right, title or interest in them to you.
User Comments and Submissions
Any idea, suggestion, comment or other information you transmit to the Site, other than information sent to us after we have agreed to act for you, is and will be treated as non-confidential and non-proprietary. Please review our Privacy Policy for how we handle personal information submitted through the Site.
You agree that no information or material you transmit to Narula Deluca LLP through the Site will violate anyone else’s rights, including copyright, trademark, privacy or other rights. You may not transmit any information that is or contains threatening, libellous, defamatory, scandalous, inflammatory, pornographic, profane or otherwise unlawful, abusive or obscene material. You are solely responsible for the content of anything you submit.
HGA Group
Narula Deluca LLP is a separate, independent professional service business within HGA Group, an unincorporated association of professional service entities that collaborate to serve common clients. Each entity within HGA Group has its own engagement terms, its own professional obligations and its own responsibility for its own advice. Nothing on this Site is an offer of, or advice from, any other HGA Group entity, and no other entity is responsible for the Contents or for legal services provided by Narula Deluca LLP.
Legal Services
Legal services are provided only under a written engagement letter that sets out the scope of the work, the anticipated timing and the fee arrangement, including disbursements and GST. The engagement letter governs the services; these Terms govern the Site. Where the two conflict, the engagement letter prevails.
Narula Deluca LLP is regulated by the Law Society of Alberta and provides legal services in Alberta. Information on the Site is directed at persons seeking legal services in Alberta and may not be appropriate elsewhere.
Fees and Online Payments
Fees are quoted in Canadian dollars. Where the Site offers the ability to pay an invoice online, payment is processed by a third-party payment provider under that provider’s terms. Retainer funds and other money held on your behalf are handled in accordance with the Law Society of Alberta’s trust accounting rules.
If you believe you have been billed in error or have a question about an invoice, contact us immediately at 780-489-9750 or info@naruladeluca.com. Disputes about legal fees are governed by the engagement letter and by the review procedures available under Alberta law.
Links to Other Sites
The Site may link to websites operated by others, including other HGA Group entities. Narula Deluca LLP is not responsible for any outside site, service or material linked to or from the Site, and disclaims all liability for any loss you may experience by using them. If you have any concerns regarding an outside site, direct them to the operator of that site.

Use this Site at your own risk. NARULA DELUCA LLP PROVIDES THIS SITE AND ALL CONTENTS AS IS, WITHOUT EXPRESS OR IMPLIED WARRANTY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. Some jurisdictions may not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.
Narula Deluca LLP does not warrant that your use of the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or its server are free of viruses or other harmful elements. Narula Deluca LLP does not make any representation regarding the currency, accuracy or reliability of information on the Site.

If you are not satisfied with the Site, any of its Contents or any of these Terms, we would like to hear from you at info@naruladeluca.com. Your sole and exclusive remedy with respect to the Site is to stop using it.
Indemnification
You agree to defend, indemnify and hold Narula Deluca LLP, its partners, lawyers and staff harmless from and against any claims, damages, costs and expenses, including legal fees, arising from or related to your use of the Site or your violation of these Terms.
Termination
If Narula Deluca LLP believes you have failed to comply with these Terms, or for any other or no reason, we may deny you access to the Site immediately without notice. The restrictions on the Contents, the disclaimers and the liability limitations in these Terms continue to apply after any denial of access. Upon denial of access, you must promptly destroy all Contents downloaded or obtained from the Site, and all copies of them.
Governing Law and Jurisdiction
Narula Deluca LLP controls and operates this Site from its offices in Edmonton, Alberta, Canada, and displays the Site and the Contents solely to describe and promote its legal services in Alberta.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable in Alberta, without regard to conflict-of-laws principles. Any dispute arising under or relating to these Terms, the Contents or the use of the Site shall be resolved exclusively in the courts of Alberta, Judicial Centre of Edmonton. Your use of the Site constitutes your consent to the jurisdiction and venue of those courts.
Entire Agreement
These Terms, together with our Privacy Policy, are the entire agreement between you and Narula Deluca LLP relating to the Site and its Contents. They do not replace or modify any engagement letter between you and the firm.
